Services Terms and Conditions

These Terms and Conditions govern the provision of digital services by Rankpage Sdn Bhd (“Rankpage,” “we,” “our,” or “us”) to the Client (“you” or “your”).
By engaging our services, you agree to be bound by these terms.

1. Services and Scope

General Service Scope

We provide the following digital and creative services (each a “Service”, collectively “Services”):

  • Search Engine Optimisation (SEO)
  • Website Design, Development, Maintenance, and Hosting
  • E-Commerce Solutions
  • Content Writing and Copywriting
  • Social Media Management and Advertising
  • Search Engine Marketing / Google Ads Management

All details, deliverables, and specific inclusions will be set out in a written Proposal, Quotation, or Service Agreement approved by the Client.

2. Search Engine Optimisation (SEO)

Definition and Scope

SEO services may include keyword research, on-page optimisation, technical SEO (site speed, crawlability, mobile-friendliness), backlink strategy, local SEO (if agreed), analytics tracking, and reporting. Deliverables, target keywords, and reporting frequency will be stated in the Proposal.

Timelines and Reporting

SEO is a long-term process. Significant results generally appear after several months depending on competition and site condition. Rankpage will provide periodic reports (quarterly or otherwise agreed) detailing progress, work completed, and next actions.

Client Obligations

  • Provide full access to website, CMS, analytics, and hosting credentials.
  • Approve or respond to content or recommendations within seven (7) business days.
  • Notify Rankpage before third parties make website changes that could affect optimisation.

Scope Changes

Requests for additional keywords, extra pages, language localisation, or additional link-building will be subject to new quotation and written agreement. Technical issues discovered mid-project (e.g., extensive broken links, malware) may incur additional fees upon client approval.

Guarantees, Limitations, and Performance Disclaimer

By engaging SEO services, the Client acknowledges the following:

  • Optimised changes may not be fully reversible once applied.
  • No specific ranking, traffic, or revenue outcome is guaranteed.
  • Search engine algorithms and competitive factors are beyond Rankpage’s control.
  • We shall not be liable for penalties arising from prior SEO activities by others (including black-hat tactics).

3. Performance Limitations & Algorithm Changes

General Principle

Our services are performed on a best-effort basis using professional skill and industry standards. Results depend on external variables beyond our company’s control.

External Factors

Rankpage is not responsible for changes or failures in:

  • Search engines (including any Google Core Update), hosting providers, social-media platforms, or advertising networks;
  • Policy changes, account suspensions, or service downtime;
  • Market competition or third-party integrations (APIs, plugins, gateways);
  • Client-initiated modifications without prior consultation.

Client Responsibilities

The Client must provide timely feedback, materials, and implementation cooperation. Rankpage is not liable for poor results caused by delays, incomplete implementation, or conflicting third-party work.

Service-Specific Clarifications

  • SEO: No guarantee of Page-1 ranking, traffic increase, or results within a fixed period. Algorithm fluctuations are normal.
  • Web Design/Development: Warranty covers agreed functionality at handover only; later plugin or host changes are excluded.
  • E-Commerce: Rankpage is not responsible for transaction errors, chargebacks, or third-party payment gateway issues.
  • Content Writing: Rankpage guarantees originality, not marketing performance.
  • Social Media: No guarantee of follower counts, engagement, or viral outcomes.
  • Google Ads: No guarantee of conversions or specific ROI; ad results depend on competition and platform decisions.

Limitation of Liability

Rankpage shall not be liable for indirect, incidental, or consequential losses (including lost profit or goodwill).

Our total aggregate liability for any claim shall not exceed the total professional fees paid for the relevant Service in the preceding twelve (12) months.

Best-Effort Commitment

Rankpage undertakes to perform its Services with due care, good faith, and professional diligence consistent with digital-marketing best practices.

Compliance with Malaysian Law

This clause operates under the Contracts Act 1950 and Consumer Protection Act 1999. It shall not be construed to remove any non-excludable statutory rights.

Termination

Either party may terminate SEO services with thirty (30) days’ written notice for material breach. The Client shall pay for work completed up to the termination date.

Intellectual Property

Rankpage retains ownership of proprietary tools, software, and methodologies. Clients receive rights to SEO content, reports, and keyword data upon full payment.

4. Website Design, Development, Maintenance & Hosting

Scope and Deliverables

Deliverables may include design mockups, responsive layouts, specified pages, and agreed features (e.g., forms, galleries, blogs). All inclusions appear in the Proposal.

Client Content and Assets

  • Client must supply logos, brand guides, and text in appropriate formats. Late provision of assets extends delivery timelines.
  • If content needs are large (e.g. many pages, translations), indicate extra time/fee.

Revisions

  • Two (2) design revisions are included unless otherwise stated.
  • After designs are approved, additional revisions will be billed separately.

Hosting & Third-Party Components

  • Hosting, domains, and paid plugins remain the Client’s responsibility unless otherwise agreed.
  • Costs/licences for paid themes or plugins are additional.

Testing and Launch

  • Rankpage tests on major browsers and devices.
  • Client shall review during a seven-day User Acceptance Test (UAT). Approval (via email, signature, or written confirmation) constitutes acceptance.

Maintenance and Support

During the subscribed service period, the following Core Maintenance is included at no extra cost:

  • Our Bug Fixes: Repair of any bugs, errors, or defects that are directly traceable to our development work.
  • Minor Content Adjustments: Small updates to existing text or the uploading/replacement of images within the current design structure (e.g., updating a phone number, swapping a staff photo).

Extended Support & Future Development

Any maintenance, support, or development work outside of the scope defined above requires a separate support agreement or development quote. This includes, but is not limited to:

  • Third-Party Integration Issues: Investigation, diagnosis, and resolution of bugs or issues caused by third-party plugins, external integrations, or code not implemented by us.
  • Client-Caused Errors: Recovery or repair of the website structure, user interface (UI), or content that was broken, corrupted, or damaged by client/internal team actions.
  • New Features/Functions: The addition of new functionalities, plugins, major design changes, or significant development work.
  • Post-Subscription Maintenance: All maintenance and support required after the subscribed service period has ended.

Warranties & Liability

Rankpage warrants the website will function per specifications at launch. We do not guarantee search-engine performance, revenue generation, or complete immunity from cyber vulnerabilities.

5. E-Commerce Solutions

Scope and Features

  • Includes online catalogues, carts, payment gateways, and shipping modules.
  • Complex integrations (multi-currency, subscription, ERP sync) require additional time and cost.

Payment and Transactions

  • Client is responsible for payment-gateway setup, merchant fees, taxes, and compliance.
  • We are not liable for chargebacks or transaction failures.

Product Data and Compliance

Client must ensure all products and materials comply with Malaysian law and intellectual-property rights.

Security & Compliance

  • SSL and PDPA compliance are provided where applicable.
  • Ongoing PCI compliance rests with the Client.

Maintenance and Update

  • Updates to listings or pricing are not part of standard maintenance unless specified.
  • Training on back-end usage may be added by agreement.
  • Any updates to product listings, pricing, shipping etc. are Not part of maintenance scope; they incur additional fee.

Liability

  • Our company is not responsible for downtime caused by hosts or third-party plugins.
  • Errors under Rankpage’s control will be rectified within an agreed timeframe.

6. Content Writing and Copywriting

Scope and Deliverables

  • Services include blogs, web copy, and marketing materials as agreed.
  • Type of content (blog posts, articles, web copy, product descriptions), word count, number of items, schedule of delivery specified in Proposal.
  • Keyword optimisation and referencing are included when specified.

Revisions

  • One rounds of revision are included. Additional or major rewrites incur fees.
  • Client to provide feedback within a given timeframe (7 business days).

Originality

  • All content is original and plagiarism-free.
  • Client-supplied materials must not infringe third-party rights.

Rights & Licensing

  • Ownership transfers to the Client upon full payment.
  • Rankpage may display non-confidential samples in its portfolio unless otherwise instructed in writing.

Deadlines

Delays due to late feedback extend delivery timelines proportionately.

Revision Turnaround

After submission, revision requests must be clearly specified. Turnaround for revisions is per agreed schedule.

7. Social Media Management

Scope and Deliverables

  • Platforms, posting frequency, and content types are defined in the Proposal.

  • Community management (replying to comments/messages) applies only if included.

Content Creation and Approval

  • Client must approve drafts before posting.

  • Additional ad-hoc posts beyond schedule incur extra charges.

Third-Party Tools

Licences for scheduling or design tools are borne by the Client unless stated.

Reporting

Reports (monthly or bi-weekly) summarise engagement, reach, and recommendations.

Rights and Usage

Client owns final approved content. Rankpage may reuse generic templates.

Cancellation/Pauses

Services may be paused with thirty (30) days’ notice. Any paused period may affect performance or results.

8. Google Ads and Paid Media

Scope & Deliverables

  • Campaign setup (ad copy, keywords, targeting), ongoing optimisation, monitoring, budget management, performance reporting.
  • Platforms included, format of ads (search, display etc.), geographic / demographic targeting defined in Proposal.

Ad Spend

  • All media spend is paid by the Client directly or via Rankpage after prepayment.
  • Budget must be cleared / funded timely. Delays can affect campaign start or performance.

Approval & Compliance

  • All creatives and landing pages must follow Google and platform policies.
  • All ads, creatives must comply with platform policies (Google, etc.). Rankpage is not liable for disapproved ads or account suspensions due to content or policy violations by Client.

Performance

  • Rankpage will optimise campaigns in “good faith” to meet agreed KPIs (clicks, CTR, conversion etc.) but does not guarantee exact outcomes (e.g. exact number of leads or sales) due to external factors.
  • Any projections are estimates based on data; actual performance can vary.

Reporting & Billing Cycles

  • Reports delivered as agreed (monthly or quarterly), showing spend, performance metrics, recommendations.
  • Management fees invoiced monthly (or as per Proposal). Ad spend charges may be direct by platform or passed through.

Pauses / Changes / Termination

  • Client may request changes in targeting, budgets, creatives; agreed changes will be reflected in cost/timeline.
  • If Client wishes to pause or terminate campaigns, they must provide notice (30 days). Any committed budget, setup work, or non-refundable third-party costs remain payable.

Liabilities & Indemnity

  • Rankpage not liable for losses arising from platform changes, competition, invalid clicks, etc.
  • Client indemnifies Rankpage from any claims arising from the ad content, landing pages, compliance, or legal liabilities due to Client content.

Modifications

Any change to the Scope must be agreed in writing. Additional work outside of the agreed Scope will incur additional charge

9. Service Provision and Duration

Service Scope

Upon completion and final payment, we will provide the following access and services:

  • Access: Upon completion and final payment, the Client receives site logins and webmail credentials (if applicable).
  • Maintenance: During the service term, Rankpage performs plugin updates, database backups, and core integrity checks.
  • Reporting: Analytics reports are provided quarterly or as agreed.

Service Term

Standard validity is one year from sign-off or activation date. Renewal terms apply thereafter.

  • Website Offline: The client acknowledges that the website will go offline if the domain name or hosting service is not renewed by the respective expiration date. Domain and Hosting renewal are the client’s sole responsibility. A separate agreement for us to manage renewal must be in place to supersede this term.

Final Acceptance

Completion is confirmed by signed document, e-mail, or written message confirming satisfaction. This sign-off may be:

  • A reply to a formal email confirming satisfaction.
  • A signed project completion document.
  • A WhatsApp text message or voice record confirming satisfaction.

 

10. Post-Acceptance Support

Upon final acceptance (sign-off), the initial project scope is now considered complete. All services related to the initial website build are concluded.

Complimentary Support

Our complimentary support for the website is limited to minor services, specifically:

  • Minor Content Updates: This includes text and typo corrections and image updates (provided the content is supplied by the client).
  • Downtime Resolution: We will work to resolve website downtime issues, but only if the cause is determined to be the hosting provider and is within our technical ability to address.

New Projects and Major Changes

Any request for new feature requests, major design changes, or significant functional modifications will be considered a new project and will require a separate quotation and agreement.

11. Client Responsibility and Content Management

Content and Management

  • After the handover and final acceptance, the client assumes full responsibility for the website’s content, including, but not limited to, product information, images, and text.
  • Content Legality and Compliance: The client is solely responsible for ensuring that all content provided or added to the website, including text, images, and links, complies with all applicable laws, regulations, and third-party rights (copyright). This explicitly includes checking for and removing illegal, offensive, defamatory, or harmful material (content related to violence, crime, drugs, or incitement of unrest). The company has no obligation to monitor or check the client’s content.
  • The client is responsible for regularly checking their webmail and managing their online communications.

Meetings & Communication Policy

To ensure focused delivery and fair use of time across all clients, meetings are structured as follows:

  • Each client is entitled to one scheduled meeting per month, unless otherwise agreed in writing.
  • For most engagements, meetings are typically conducted on a quarterly basis, aligned with strategy reviews, performance discussions, or major milestones.
  • Additional meetings outside the agreed schedule are not included by default and may be subject to availability or additional fees.
  • Ad hoc calls, informal check-ins, or unscheduled discussions are not guaranteed and should not replace scheduled meetings.
  • All meeting requests must be submitted in advance to allow for proper preparation and agenda setting.

Account Security

  • The client is responsible for the security of all login credentials.
  • Our company is not liable for any security breaches resulting from compromised client passwords or other security failures on the client’s part.

12. Limitation of Liability (General)

Scope of Limitation

To the maximum extent permitted by Malaysian law, Rankpage Sdn Bhd and its directors, officers, employees, or agents shall not be held liable for any direct, indirect, incidental, consequential, or special losses or damages arising out of or relating to:

  • The use, inability to use, or performance of the Services;
  • Failures or downtime of third-party systems including hosting providers, domain registrars, plugins, APIs, ad networks, or social-media platforms;
  • Delays, omissions, or interruptions beyond Rankpage’s reasonable control;
  • Client’s failure to implement or maintain recommended changes or security measures; or
  • Business interruptions, loss of revenue, profits, goodwill, anticipated savings, or data.

Third-Party Dependencies

Many Services depend on external platforms (e.g., Google, Meta, WordPress, Cloudflare, or third-party payment providers). Rankpage has no control over their operation, policies, or uptime. Therefore, we shall not be responsible for any adverse effects caused by these providers’ actions, suspensions, algorithm updates, or policy enforcement.

Financial Limitation

Rankpage’s total cumulative liability, whether arising in contract, tort (including negligence), or otherwise, for any claim related to or arising out of the Services, shall not exceed the total professional fees actually paid by the Client for the specific project or service within the preceding twelve (12) months.

Exclusions from Limitation

Nothing in these Terms limits or excludes liability for fraud, gross negligence, wilful misconduct, or any other matter that cannot be excluded or limited under applicable Malaysian law.

Indemnification

The Client agrees to indemnify and hold Rankpage harmless from any claims, liabilities, losses, damages, or expenses (including reasonable legal fees) arising from:

  • Content, materials, or instructions supplied by the Client;
  • Breach of third-party rights or laws resulting from Client content or operations; or
  • Use of the Services in violation of these Terms.

13. Termination and Case Closure

Termination Rights

Either party may terminate a Service Agreement with thirty (30) days’ written notice if the other party materially breaches its obligations and fails to remedy the breach within that notice period. Rankpage may also terminate Services immediately if:

  • The Client engages in abusive, unlawful, or fraudulent conduct;
  • Payments remain outstanding beyond agreed terms; or
  • Continuing the Service would expose Rankpage to reputational, technical, or legal risk.

Effect of Termination

Upon termination or completion:

  • All work performed up to the termination date shall be billed and payable;
  • Access credentials and deliverables will be provided once full payment is received;
  • Ongoing campaigns or hosting accounts managed by Rankpage will be discontinued;
  • All warranties, disclaimers, confidentiality, and limitation-of-liability clauses shall survive termination.

Project Closure and Data Handling

After final acceptance and termination, Rankpage will close the project record in its internal system.

Migration or release of source code, databases, or proprietary files will only occur upon:

  • Written request by the Client;
  • Settlement of all outstanding dues; and
  • Confirmation of transfer terms in a separate signed agreement.

No Obligation to Retain Data

Rankpage is not required to store, archive, or back up project data, design files, or source code after project closure unless otherwise agreed in writing.

14. Confidentiality and Subcontracting

Confidential Information

Both parties agree to maintain strict confidentiality over all proprietary or sensitive information disclosed during the engagement.

Such information includes (but is not limited to) business strategies, client lists, marketing data, source code, credentials, and pricing structures.

Rankpage and its personnel shall not use or disclose such information except as necessary to perform the Services, comply with law, or with prior written consent of the Client.

Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly known through no breach of these Terms;
  • Was lawfully obtained from a third party without confidentiality restrictions; or
  • Is required to be disclosed by law, court order, or regulatory authority (with prior notice to the disclosing party where possible).

Use in Portfolio and Marketing

Rankpage may display completed, non-confidential projects, designs, or marketing assets in its portfolio, case studies, or promotional materials only with the Client’s prior written consent.

Subcontracting Rights

Rankpage may engage subcontractors, vendors, or affiliates to carry out parts of the Services without prior notice, provided that:

  • The quality, confidentiality, and security standards remain consistent with Rankpage’s own; and
  • Rankpage remains fully responsible for the acts or omissions of such subcontractors

15. Right of Refusal and Abusive Conduct

Rankpage Sdn Bhd reserves full discretion to decline, suspend, or discontinue any engagement if continuation is deemed inappropriate, unproductive, or detrimental to the Company or its personnel.

This includes, but is not limited to:

  • Behaviour that is aggressive, abusive, defamatory, or otherwise disruptive (whether written, verbal, or electronic).
  • Requests or conduct that violate law, ethics, or reasonable workplace standards.
  • Situations where continuation may harm Rankpage’s reputation, operations, or client portfolio.

Rankpage may act without prior notice or explanation.

  • Fees paid or payable for work completed remain non-refundable.

16. Account Security

The Client is solely responsible for all credentials and access details provided under any Service.

Rankpage’s responsibilities do not extend to post-handover account management.

  • Credentials must be kept secure, unique, and limited to authorised personnel.
  • Rankpage is not responsible for unauthorised access, data breaches, or misuse caused by shared, weak, or exposed credentials.
  • Any recovery, reset, or reinstatement request may be handled as a new administrative task, subject to internal verification and applicable fees.

Clients are strongly advised to rotate passwords and maintain updated security measures at all times.

17. Force Majeure

Rankpage shall not be liable for any delay or failure in performance arising from events beyond its reasonable control, including but not limited to:

  • Natural disasters, accidents, or public emergencies;
  • Governmental or regulatory orders and policy changes;
  • Strikes, labour disputes, or supply-chain disruptions;
  • Network, hosting, or data-centre outages;
    Cyber incidents, platform breakdowns, or technical failures;
  • Pandemics or other widespread crises.

In such cases:

  • Service obligations are temporarily suspended until normal conditions resume.
  • Project schedules may be reasonably adjusted without penalty.
  • Where continuation becomes impossible or commercially impractical, Rankpage may modify, defer, or discontinue the affected Services and retain payment for completed work.

18. Governing Law and Jurisdiction

These Terms and any related agreements shall be governed and interpreted in accordance with the laws of Malaysia.

All matters arising from or connected to these Terms shall follow applicable Malaysian legal principles and procedures.

19. Severability and Entire Agreement

If any provision is found invalid, the remaining provisions remain in effect.

These Terms, together with any signed Proposal or Service Agreement, constitute the entire understanding between Rankpage and the Client and supersede all prior communications.

20. Amendments and Updates to Terms

Right to Amend

We reserve the right to amend, modify, update, or replace any part of these Terms and Conditions at its sole discretion and at any time, without prior notice, to reflect changes in our practices, legal requirements, or service offerings.

Effective Date of Changes

All amendments will take effect immediately upon being posted on our official website.

Access to Current Version

The most current version of our Terms and Conditions will always be available on our official website. Clients are encouraged to review these Terms periodically to stay informed of any updates.
